Terms of Service

By accessing and using TigerTrust's certificate lifecycle management platform and related services (collectively, the "Services"), you accept and agree to be bound by the terms and provision of this agreement.

These Terms of Service constitute a legally binding agreement between you (whether personally or on behalf of an entity) and TigerTrust Corporation ("TigerTrust", "we", "us", or "our") concerning your access to and use of the Services.

We reserve the right to modify these terms at any time. We will provide notice of material changes through email or prominent notice on our platform. Your continued use of the Services after such modifications constitutes acceptance of the updated terms.

TigerTrust provides a comprehensive certificate lifecycle management platform that includes:

• Automated certificate discovery and inventory management
• Certificate lifecycle automation (issuance, renewal, deployment, revocation)
• PKI management and internal certificate authority services
• Compliance monitoring and audit reporting
• SSH key management and rotation
• AI-powered analytics and insights
• Integration with third-party certificate authorities and cloud providers

The specific features and capabilities available to you depend on your subscription tier and may be modified from time to time. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

Acceptable Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use the Services to transmit malware, viruses, or malicious code
• Reverse engineer, decompile, or disassemble any portion of the Services
• Use the Services to compete with TigerTrust or create a similar service

Data Accuracy: You are responsible for the accuracy, quality, and legality of your data and the means by which you acquired such data. You warrant that you have all necessary rights and permissions to provide data to the Services.

Subscription Fees: Access to the Services requires payment of subscription fees as specified in your selected pricing plan. All fees are exclusive of applicable taxes unless otherwise stated.

Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, as selected by you. Fees are non-refundable except as expressly provided in these Terms or required by law.

Price Changes: We reserve the right to modify our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. Your continued use of the Services after the price change constitutes acceptance of the new pricing.

Payment Methods: You must provide current, complete, and accurate billing information. You authorize us to charge your payment method on a recurring basis.

Late Payment: Failure to pay fees when due may result in suspension or termination of your access to the Services. You remain responsible for all outstanding fees plus interest at 1.5% per month or the maximum rate permitted by law.

TigerTrust IP: The Services, including all software, technology, trademarks, service marks, logos, and trade names, are the exclusive property of TigerTrust and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services as expressly permitted.

Customer Data: You retain all rights to your data. You grant TigerTrust a limited license to use, store, and process your data solely for the purpose of providing the Services and as described in our Privacy Policy.

Feedback: Any feedback, suggestions, or ideas you provide regarding the Services may be used by TigerTrust without obligation or compensation to you.

Service Level Agreement: We strive to provide 99.9% uptime for our Services, as detailed in our Service Level Agreement (SLA) available to Enterprise customers.

Limited Warranty: TigerTrust warrants that the Services will perform substantially in accordance with our documentation under normal use. This warranty does not cover issues caused by misuse, unauthorized modifications, or third-party software.

DISCLAIMER OF WARRANTIES:

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIGERTRUST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Termination by You: You may terminate your subscription at any time through your account settings or by contacting support. Termination will be effective at the end of your current billing period.

Termination by TigerTrust: We may suspend or terminate your access to the Services immediately if:

• You violate these Terms of Service
• You fail to pay fees when due after a 15-day grace period
• Your use poses a security risk or adversely impacts our systems
• We are required to do so by law

Effect of Termination: Upon termination, your right to access and use the Services will immediately cease. You may request an export of your data within 30 days of termination, after which we may delete your data in accordance with our data retention policies.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and TigerTrust individually. You waive any right to pursue claims on a class action basis.

Jurisdiction: You consent to the exclusive jurisdiction and venue of the federal and state courts located in San Francisco County, California for any disputes not subject to arbitration.

Entire Agreement: These Terms constitute the entire agreement between you and TigerTrust regarding the Services and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control.
